NOTICE OF SPECIAL GENERAL MEETING TO ALTER THE RULES

The Western Australian Fibre & TextileAssociation Inc.

is convening a special general meeting at which the following resolution/s will be proposed as special resolutions to alter the rules of the association

from voting by a show of hands, to direct vote by ballot at GeneralMeetings (AGM and Special) which will be held online.

 

The special general meeting will be held online as a Zoom meeting at 7.30pm on 28th July 2020.

An ordinary member will be given details of how to accessZoom, participate and vote in the online meeting at least 24 hours before the Special General Meeting.

SPECIAL RESOLUTIONS:

Nomination of Committee Members - Currently rule35.1.4 states:

The written notice must include a statement by another member in support of the nomination. It is proposed to delete rule 35.1.4

 

Currently rule 35.1.5states:

35.1.5 A member may nominate for one specified position of office holder of the Association or to be an ordinary committee member. It is proposed to renumber this rule because of the deletion of 35.1.4:

35.1.4 A member may nominate for one specified position of office holder of theAssociation or to be an ordinary committee member.

 

Currently rule 35.1.6states:

35.1.6 A member whose nomination does not comply with this rule is not eligible for election to the committee unless the member is nominated under rule 34.2. It is proposed to renumber this rule because of the deletion of rule 35.1.4:

35.1.5A member whose nomination does not comply with this rule is not eligible for election to the committee unless the member is nominated under rule 34.2

Notice of Special Meetings - Currently rule 56.2.4.3 states:  Comply with rule 57.7. It is proposed to delete rule 56.2.4.3

Proxies - Currently rule 57.1 states:

Subject to sub rule (2), an ordinary member may appoint an individual who is an ordinary member as his or her proxy to vote and speak on his or her behalf at a general meeting.

It is proposed to alter this rule to state

All members have the opportunity to vote by direct vote/ballot, emailed or posted to the ReturningOfficer to be received 24 hours prior to the general meeting, therefore voting by proxy has been removed.

Voting at general meeting - Currently rule 61.1.2 states: an ordinary member may vote personally or by proxy.

It is proposed to alter this rule to state as follows: ordinary members may vote by direct vote (ballot) to be returned to the email address of the Returning Officer or posted to the WAFTA postal address marked,  "Attention - Returning Officer/Ballot"   

Currently rule 61.2 states:

Except in the case of a special resolution, a motion is carried if a majority of the ordinary members present at a general meeting vote in favour of the motion.

It is proposed to alter this rule to state as follows:

Except in the case of a special resolution, a motion is carried if, a majority of the ordinary members voting by direct vote/ballot at a general meeting vote in favour of the motion.

 

Minutes of general meeting - Currently rule 64.3.2states:

any proxy forms given to the chairperson of the meeting under rule 57.8; and it is proposed to delete this rule.

 

Currently rule 64.3.3 states:

the financial statements or financial report presented at the meeting as referred to in rule 54.3.2.1 or 54.3.2.3 and

It is proposed to renumber this rule because of the deletion of rule 64.3.2.

Currently rule 64.3.4states:

any report of the review or auditor’s report on the financial statements or financial report presented at the meeting, as referred to in rule 50.3.2.4. It is proposed to renumber this rule because of the deletion of rule 64.3.2:

64.3.3 any report of the review or auditor’s report on the financial statements or financial report presented at the meeting, as referred to in rule 50.3.2.4

INFORMATION for MEMBERS

·      This Notice of a proposed special resolution to alter the rules, (name or objects), will be sent by personal email to all members of the Association.

·      In accordance with rule 56.1.1 members must be given at least 28 days’ notice of the meeting.

·      In accordance with rule 56.2.4.1 the wording of the proposed resolution is set out as required in 51(4) of the Act; and 56.2.4.2 and states the resolution is intended to be proposed as a special resolution;

·      56.2.5.2 Alterations to the rules can only be made if supported by 75% of members voting at the meeting or by proxy.

·      Alterations to the rules only take effect when lodged with the Government of Western Australia Department of Mines, Industry Regulation and Safety.
